1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of Sonic EMS ("the Service"), operated by Sonic Digital Group Ltd ("we", "us", "our"). Sonic EMS is a trading name of Sonic Digital Group Ltd.

By registering an organisation, creating a user account, or otherwise using the Service, you agree to be bound by these Terms. If you are accepting on behalf of an organisation, you confirm that you have authority to bind that organisation.

2. Definitions

"Organisation" means the company or entity that registers to use the Service. "User" means an individual who is given access to the Service by an Organisation. "Customer Data" means the data an Organisation or its Users submit to the Service.

3. Accounts and Eligibility

You must provide accurate registration details and keep them up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly of any unauthorised use. Accounts are for named individuals and must not be shared.

4. Acceptable Use

You agree not to misuse the Service. In particular, you must not: (a) use the Service unlawfully or to store or transmit unlawful, infringing, or harmful material; (b) attempt to gain unauthorised access to the Service or its systems; (c) interfere with or disrupt the integrity or performance of the Service; or (d) reverse engineer or copy any part of the Service except as permitted by law.

5. Subscriptions, Fees and Payment

Some features are provided free of charge; others require a paid subscription or add-on modules. Fees, billing periods and included modules are as set out in your chosen plan. Unless stated otherwise, fees are exclusive of VAT, are payable in advance, and are non-refundable except where required by law. We may change our fees on reasonable notice, effective from your next billing period.

6. Customer Data and Data Protection

As between you and us, you retain all rights in your Customer Data. You grant us the rights necessary to host and process Customer Data in order to provide the Service. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to provide it to us.

Where we process personal data on your behalf, we act as a data processor and you act as the data controller. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

7. Availability and Support

We aim to keep the Service available and to provide reasonable support, but we do not guarantee uninterrupted availability. We may carry out maintenance and may suspend access where necessary for security, legal, or operational reasons, giving notice where practicable.

8. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by us or our licensors and is protected by intellectual property laws. These Terms do not transfer any ownership of the Service to you; you receive only a limited, non-exclusive, non-transferable right to use the Service during your subscription.

9. Confidentiality

Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms, save where disclosure is required by law.

10. Limitation of Liability

Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or for fraud). Subject to that, we are not liable for indirect or consequential loss, loss of profits, revenue, or data, and our total liability arising out of or in connection with the Service is limited to the fees paid by you for the Service in the twelve months before the event giving rise to the claim.

11. Suspension and Termination

You may stop using the Service and cancel your subscription at any time in accordance with your plan. We may suspend or terminate access if you materially breach these Terms, fail to pay, or where required by law. On termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period after termination, after which it may be deleted.

12. Changes to the Service and these Terms

We may update the Service and these Terms from time to time. Where changes are material we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that we may seek injunctive relief in any jurisdiction.
